Record one: the entity at the Secretary of State
The Business Filing Department of the Secretary of State "processes corporation, limited partnership, limited liability company, limited liability partnership, certificate of partnership fictitious name for general partnership, trade name, and trademark registration filings", covering new registrations, amendments, mergers, dissolutions and withdrawals for both domestic and foreign entities. Its FAQ confirms that a certificate of formation "can be filed online through WWW.SOS.OK.GOV 24 hours a day, 7 days a week".
The fee schedule is published in full, so budget from it rather than from a guess. Articles of Organization for an Oklahoma LLC are 100.00. A Trade Name filing is 25.00, a Transfer of Trade Name is 25.00 and a Withdrawal of Trade Name Report is 25.00. A Name Reservation is 10.00 and an extension or renewal of it is another 10.00. Appointment of a Registered Agent is 25.00 and a Change of Registered Agent and/or Office is 25.00. A Certificate of Incorporation for an Oklahoma for-profit corporation is a minimum of 50.00 calculated at one tenth of one percent, and a foreign LLC Certificate of Registration is 300.00.
Speed costs extra and only in person. The office states that documents "may be presented in person or delivered by mail, faxed or submitted online", that documents presented in person "may either be dropped off at no additional fee, or you may pay an additional fee in the amount of $50.00 for each document to receive Same Day Service", that all other documents "will be processed in the order in which they are received", and that in-person filings must be presented before 4:30 pm CT or they are processed the following business day.
Your registered agent is a substantive requirement, not a formality. The office states that a registered agent "may be either an individual Oklahoma resident or a domestic or foreign corporation, limited liability company or limited partnership that is reflected upon the Secretary of State's records and in good standing or it may be the entity itself when filing on behalf of an Oklahoma entity", that the agent "is responsible for receiving and forwarding service of process or official notices", and that the registered office address "must be a physical address in the State of Oklahoma where the registered agent can be personally served with process during normal business hours."

What the entity filing does not do
Three misconceptions are worth clearing before you file, and the Secretary of State clears all three itself. On names: "Will filing a certificate of formation keep others from using my company name? No. Generally, every business must protect its own intellectual property and good will. Filing a certificate of formation only prevents the secretary of state from filing a subsequent certificate of formation for an entity with a name that the secretary of state determines is the same as or indistinguishable to your company name."
On tax identity: "Now that I've filed my business entity, does the secretary of state issue my federal employer identification number (EIN OR FEIN)? No, the secretary of state does not issue employer identification numbers." And on entity choice, the office is explicit that it cannot advise: "The Office of the Secretary of State cannot help you determine the best entity type for your particular business needs. For personalized assistance, you should consult your private attorney or CPA."
The largest gap of all is the trade credential. Forming an Oklahoma LLC does not authorise plumbing, electrical, mechanical or roofing work. Those come from the Construction Industries Board, which requires its own experience, examination, bond and insurance, and which states that a licence stays inactive "until the CIB receives proof of the bond and insurance". Conversely, if your work is general contracting, the Board states that "General Contractors are not currently required to have a state license in Oklahoma", so the entity filing may genuinely be the only state registration you need.

Keeping the entity alive: the Annual Certificate and the 60-day cliff
Oklahoma does not use a fixed statewide annual report date. The Secretary of State states that "Annual Certificates are due on the formation date of the entity each year, and a 60 days grace period is given to file them. After 60 days if there has been no Annual Certificate filed, the entity becomes inactive and not in good standing." Your deadline is your own filing anniversary, which is exactly the kind of date that gets lost when a business has three or four other recurring filings.
The office also explains what a lapse looks like from the outside: "My entity status online reads as Terminated or Expired? What does this mean? It means the LLC or LP is not in good standing with the State of Oklahoma due to a late Annual Certificate." The fee schedule prices the filing itself at 25.00 for an Oklahoma or foreign LLC, 50.00 for an Oklahoma or foreign LP, and a minimum of 10.00 at one tenth of one percent for corporations.
Recovery is possible and the mechanics are published. The office states that reinstatement forms may be downloaded from its website, that "A Reinstatement form has no fee but must be included anytime an entity is inactive, and an Annual Certificate form is required for each year past due." It adds that the count of years owed and the inactive date are not available online and directs you to call the Annual Certificate Department at (405) 522-2822.
For roofers, good standing at the Secretary of State is not just a corporate housekeeping matter. The Roofing Contractor Registration Act directs the registrar to classify a registration as not in good standing where the contractor fails to "Maintain an active status of a corporation or registration as a foreign corporation, a limited liability company or registration as a foreign limited liability company", or fails to "File or renew a trade name registration". A missed Annual Certificate can therefore knock over the trade registration too.

Record two: tax accounts at the Oklahoma Tax Commission
The Tax Commission publishes the sequence on its New Business Center page: complete the business registration application "for the permits and/or accounts you need", contact the Secretary of State if you intend to incorporate, register for unemployment insurance taxes at the Employment Security Commission, and contact the county assessor's office in the county where the business is located. It then adds a contractor-specific instruction: "Nonresident Contractors must also contact Oklahoma Department of Labor, Worker Compensation Division" at 405.528.1500 and the county assessor of the county in which the work is to be done.
On the sales tax permit itself, the Commission states you "may apply for a sales tax permit by filing and completing a business registration application on OkTAP". The published price for that permit comes from the Department of Commerce rather than from the Tax Commission: its licences-and-permits page states that if your business will sell a product you need a Sales or Use Tax Permit from the Tax Commission, that registering "costs $20 plus a handling fee", and that you will need "the Secretary of State Filing Number and EIN obtained previously". That ordering is the useful part: entity first, EIN second, tax permit third.
Once the account exists, the calendar takes over. The Commission states that "Business tax returns are due to the OTC no later than the 20th of the month following the month for which the return and remittances are made", and that where a due date falls on a Saturday, Sunday or observed state holiday "the report is due on the next business day". Late filing carries a penalty of 10% of the tax due, with interest at 1.25% per month from the due date until paid. Oklahoma sales tax is levied at 4.5% of gross receipts, with county and municipal sales tax stacked on top where applicable.
You do not have to open every account at once. Asked what happens if you have no employees now but will add them later, the Commission answers: "The business registration application is used to apply for permits and accounts as you need them. You may complete another application when you hire employees."

Record three: the employer account, and the date Oklahoma will not print
The Employment Security Commission states that "Most Oklahoma employers are required to pay a tax to the Oklahoma UI Trust Fund", and that "All employers and third-party administrators must file a quarterly wage report online that reports the wages paid to all employees during the quarter." You need the employee name, Social Security number and gross wage for each person. The report is required on any active tax account "regardless of whether or not any wages or taxable wages were paid during the quarter".
The due date itself is not published on any reachable OESC page, and this guide will not fill that gap with a guess. The penalties are published. For experience-rated employers, "a penalty of $200 plus 10% of the total contributions due will be applied if the quarterly report is not filed within 15 days of the date on the Notice of Non-Receipt (OES-054)", with interest continuing "at 1% per month until paid". For reimbursing employers, "a penalty of $20 each day, up to a maximum of $200" applies, plus 5% of the amount due if reimbursing payments are not made within 45 days of the mailing of the Quarterly Statement for Reimbursement of Benefits Paid.
On the withholding side the Tax Commission is more specific. Employers withholding less than $500 per quarter remit quarterly, employers on the federal semi-weekly schedule report to Oklahoma the same way, and "All other employers will remit monthly." The Commission also notes a 2025 system change: "starting in Quarter 2 (period ending June 30, 2025), each quarterly withholding return will need to be manually generated and then filed", and that a quarterly return is statutorily required, so accounts that stop filing "will become delinquent and could result in future audits".
The line between an employee and a subcontractor matters at exactly this point. The Commission states that "Business owners are required to withhold and pay state withholding tax on wages paid to an employee. Business owners are not required to withhold or pay state withholding tax on payments made to independent contractors." Getting that classification wrong is not a filing problem, it is a liability problem, and it is worth settling before the first crew goes out.

Oklahoma splits contractor rules across at least five agencies: the Construction Industries Board for the regulated trades, the Department of Labor for alarm, fire sprinkler, elevator, boiler, welding and asbestos, the Secretary of State for the entity, the Tax Commission for permits and returns, and the Employment Security Commission for unemployment insurance. Add your own city on top of all of it. No single page carries the whole picture, and each one changes on its own schedule.
Before you send an application fee, sign a contract or hire anyone, open the specific page for your trade, confirm the requirement, and keep a dated copy of what you read. That same application warns that "If the applicant fails to meet the minimum qualifications to take the examination, the application fee will be forfeited."
