Decide whether the LLC is domestic or foreign

A domestic Alaska LLC is created in Alaska. A foreign LLC was created under another state or country and registers to do business in Alaska. The words domestic and foreign describe the entity’s home jurisdiction, not where the owner lives. A person who lives outside Alaska can still form a domestic Alaska LLC.

If an existing out-of-state LLC will own the contracting business, compare foreign registration with creating a separate Alaska entity before filing. Clear the name and appoint the registered agent

Search the Alaska corporation database and confirm that the legal LLC name is distinguishable. Use the required LLC indicator. If a foreign entity registers, use the exact legal name from the home jurisdiction unless the filing process requires an alternate name. Decide the public DBA at the same time so later records can be consistent.

The registered agent must be continuously located in Alaska at the physical and mailing addresses provided. The business address itself can be outside Alaska, but the registered agent cannot. Confirm that the agent accepts the role and has a reliable process for delivering lawsuits and official notices to the company.

File the creation document and save the Entity Number

Use the current Corporations Section form or the approved online filing option. The creation record identifies the legal name, ownership or management information required by the form, registered agent, addresses, and line of business. When the filing is accepted, save the accepted document and Alaska Entity Number in the permanent company file.

Do not attach private operating agreements, bylaws, resolutions, or internal governance documents unless a form specifically requires them. Alaska says these internal records are generally maintained by the company rather than filed publicly. Create the operating agreement separately and use it to document ownership, authority, voting, contributions, and member duties.

Complete the initial and continuing entity records

Alaska’s current entity instructions say domestic LLCs are among the entities that file an initial report within six months. Most entities then file a biennial report every two years based on the parity of the creation year. Keep the registered agent and official information current between reporting periods through the correct change form.

Entity good standing matters because the professional contractor registration belongs to the owner named on the application. A dissolved or noncompliant LLC can disrupt licensing, banking, contracts, insurance, and bidding. Put the report cycle and registered-agent review on the compliance calendar immediately after formation.

Finish the contractor and business-license sequence

The LLC is not yet authorized to perform covered construction work merely because the formation filing was accepted. Select the professional contractor category from the real scope and submit that application under the LLC’s exact name and DBA. The bond, liability insurance, workers compensation documentation, and any responsible administrator or trade credentials must align with that owner.

Alaska’s new-business instructions place the Business License after entity formation and professional licensing when those steps apply. Use the LLC’s Alaska Entity Number on the business-license application. After issuance, verify the LLC, professional contractor registration, and Business License in their public databases and confirm that every record displays the intended name.
